TERMS OF CONTRACT

Please read the contents of the following carefully. By using this Site, you agree to the Terms of Use,

Terms of Agreement and Privacy Policy contained herein.

The Contract between the customer and Woowshine.com is understood to be perfected when an Offer to Purchase formulated on the Website and made by Woowshine.com, is accepted by the customer. The contract shall be governed by the terms defined in this text, which govern the sale of the products made through the use of this Site by Woowshine.com or any of its affiliates, subsidiaries or business associates that appear in the corresponding invoice.

Our services are available only for those individuals who have legal capacity to contract, according to the Colombian legislation in force. If the client does not have legal capacity to contract, we ask you not to use our services; Woowshine.com will not be responsible for the damages caused by facts of the incapable by virtue of the bad vigilance of these by their legal responsible by virtue of articles 2347 to 2349 of the Colombian civil code.

Independence of Provisions

In the event that one or more of the provisions contained herein shall be deemed void, illegal or ineffective in any respect, the validity, legality and enforceability or effectiveness of the remaining provisions hereof shall not be affected or invalidated thereby.

1. Presentation of Offer

WOOWSHINE.COM through www.woowshine.com, formulates the offer of the different products that are advertised and/or described in this Web Site ("Site"). In order for WOOWSHINE.COM to make a valid purchase offer, the customer is required to fill out an electronic form available on the web page, in which the customer's personal data, the selection of the desired products, the form of payment, the data that depending on the form of payment are necessary to make the payment, as well as other data that WOOWSHINE.COM. considers necessary for the purchase to be made by this means.

The offer made by WOOWSHINE.COM. to be understood as perfected is conditioned in its effects to three circumstances: 

1. That the electronic form mentioned above is filled out and that it is received and approved by WOOWSHINE.COM.
2. That there is availability of the desired product and offered by WOOWSHINE.COM. at the time of approval of the electronic form referred to by WOOWSHINE.COM.
3. That the customer has made a down payment of 100% of the value of the merchandise selected by the customer.

That the customer has accepted the Terms of Use, Terms of Contract and Privacy Policy of this site.

Once these conditions are fulfilled, the Offer will be considered perfect and will be binding for WOOWSHINE.COM, which will proceed accordingly by generating a purchase order in the system and informing the customer, through a notice on the site and by e-mail, that his purchase order was registered in the system with a specific number, with which the customer can track the status of his order.

WOOWSHINE.COM. reserves the right to modify the prices of the products at any time prior to the acceptance of the Offer by the customer, without the need to notify such change in any way.

1. Payment Conditions

This offer is conditioned to the customer having chosen and accepted the terms and  conditions of payment that the system presents, according to the means of payment that are specifically established on the site and that the customer has made the respective advance payment for a value equivalent to 100% of the value of the selected merchandise.

Even though WOOWSHINE.COM. makes available to the client a secure connection system for the realization of all the purchase offers, in no case WOOWSHINE.COM. will be responsible for the failures in the communications of the banking or credit entities, as well as for the damages caused to the users due to an action or omission of such entities. Once WOOWSHINE.COM. verifies the payment of 100% of the down payment and the fulfillment of the other conditions to which the present offer is subject, the purchase contract will be understood to be perfected. In any case, notwithstanding the payment of the aforementioned advance payment, if the other conditions established in the second paragraph of this document are not fulfilled, the contract will not be considered completed and therefore WOOWSHINE.COM. undertakes to reimburse the user, without any interest or return, the amount paid for the advance payment.

Payment will be made only and exclusively by the following means: 

1. Credit cards: - Visa - Diners - Master Card  - American Express
2. Debit cards - Maestro - Electron
3. Deposits or cash deposits in bank accounts

PARAGRAPH: Before the acceptance by us of any purchase offer, the customer must choose the terms and conditions of payment of the corresponding price, according to the means of payment that are already specifically established in this Site. Even though WOOWSHINE.COM. makes available to the customer a secure connection system for the realization of all purchase offers, WOOWSHINE.COM. will not be responsible in any case for the failures in the communications of the banking or credit institutions, nor for the damages caused to the users on the occasion of an action or omission of these institutions.

1. Shipping and Taxes Charges

WOOWSHINE.COM. will be responsible during the transportation of the merchandise for the handling and insurance costs of the products that are purchased at www.woowshine.com, the customer will assume the value of the shipping of the product to its place of destination.

Likewise, the customer will be responsible for all sales taxes, value added taxes and any other taxes and levies that are caused by each accepted purchase offer. All taxes caused by the purchase will be settled from the moment the customer accepts the Purchase Offer on this Site, and therefore the customer will know the exact amount to be paid in favor of WOOWSHINE.COM, which will include the aforementioned concepts.

1. Price

The total value of the purchase will be composed of the following items to be paid by the customer: value of the product, taxes and transportation costs if applicable.

FIRST PARAGRAPH: WOOWSHINE.COM. is committed to constantly review and update the prices mentioned on the website and in turn, our customer and / or user, should be attentive in case of any fluctuation in them.

SECOND PARAGRAPH: WOOWSHINE.COM. will inform or publish the transportation and shipping rate that the goods will have, which will be generated depending on the costs, items and policies of the transportation company, which are independent, autonomous and alien to WOOWSHINE.COM.

Within the cost of freight must take into account the place of the Colombian territory to which the purchased products must be sent, the size and weight of these.

1. Right of withdrawal

The consumer must return the product to WOOWSHINE.COM. by the same means and in the same conditions in which it was received. Transportation costs and other costs involved in returning the goods will be covered by the consumer. The maximum term to exercise the right of withdrawal will be five (5) business days from the delivery of the good or the conclusion of the contract in case of the provision of services.

The following cases are excepted from the following case and according to the corporate purpose that WOOWSHINE.COM. performs:

-  In contracts for the supply of goods or services whose price is subject to fluctuations of financial market coefficients that the producer cannot control 

- In contracts for the supply of goods made according to the consumer's specifications or clearly personalized 

- In contracts for the acquisition of goods for personal use  WOOWSHINE.COM. must return in money to the consumer all sums paid without proceeding to make discounts or withholdings for any concept.

In any case, the refund to the consumer shall not exceed thirty (30) calendar days from the moment in which the right was exercised.

1. Reversal of payment

The law provides that in sales made through electronic commerce mechanisms, such as the Internet, and a credit or debit card or any other electronic payment instrument has been used to make the payment, the participants in the payment process must reverse the payments requested by the consumer when it is the object of fraud, or corresponds to an unsolicited transaction, or the product purchased is not received, or the product delivered does not correspond to what was requested or is defective.

In order to proceed with the reversal of payment, within five (5) business days from the date on which the consumer became aware of the fraudulent or unsolicited transaction or should have received the product or received it defective or not corresponding to what was requested, the consumer must file a complaint with WOOWSHINE.COM. and return the product, where appropriate, and notify the issuer of the electronic payment instrument used to make the purchase, which, together with the other participants in the payment process, will proceed to reverse the transaction to the buyer.

1. Shipment of the products

The shipment of the products will be made only within the Colombian territory (as long as the service is active), through certified mail, within a maximum period of fifteen (15) working days, counted from the acceptance of the offer, as long as there is no fortuitous event or force majeure, among which are, by way of example, acts of man or nature, such as strikes, stoppages, revolutions, rebellion, sedition, riots, attacks, fluid cuts, landslides, earthquakes, avalanches, overflows, falls of bridges, among others.

FIRST PARAGRAPH: The place of delivery will be to the address indicated by the customer in the offer that he/she prepares in the form intended for this purpose, which may be the same place of residence of the buyer or another that he/she designates. It is understood that any person who is at the address where delivery must be made, is duly authorized by the customer to receive your order, so WOOWSHINE.COM. is exonerated from any liability at the time of delivery, provided that it is made at the address registered at the time of purchase on the website.

SECOND PARAGRAPH: The carrier shall be obliged to make a maximum of two (2) delivery attempts of the products purchased. In the event that the delivery attempts are unsuccessful, the goods will be returned to the factory and the consigned monies will be refunded, except for the value of the shipment, without any type of interest, retribution or additional amount and regardless of the cause or origin that the return may have. It is also considered unsuccessful delivery if the recipient of the product is under fourteen (14) years of age and is not accompanied by a parent, guardian or custodian who signs together with the recipient the receipt of the product.

1. Invoice

The invoice will be sent together with the purchased product to the address mentioned by the customer.

1. Transfer of ownership

The transfer of ownership takes place as soon as WOOWSHINE.COM. places the good or product in the hands of the carrier, to be sent to the customer or the person designated by the customer.

FIRST PARAGRAPH: Notwithstanding the foregoing, the customer or recipient of the good or

product shall refrain from receiving the same immediately, in case the packaging or packing of the product presents damages, ruptures, openings or other similar, leaving the due annotation or record of that fact.

1. Packaging of the products

Our client accepts that the products are packed and presented in a plastic bag and/or cardboard box that meets the necessary conditions for the proper preservation of the product.

1. Comments

WOOWSHINE.COM. reserves the right to publish or refrain from publishing any of the comments made by users of our website to the products. In the same sense, a comment may be removed from the aforementioned website at any time.

SOLE PARAGRAPH: All comments published must be made in a cordial and respectful language and related to the object on which the comment is made.

1. Limited Liability

Notwithstanding any mandatory provisions of applicable Colombian law, WOOWSHINE.COM. assumes no liability whatsoever, including any liability for any damages, including but not limited to loss of data or profits, viruses, results of use or inability to use the material on this Site, lost business opportunities, or any other damages, even if you have advised us of the possibility of such damages, or for any claim by any third party, except as expressly provided herein.

Under the terms herein, WOOWSHINE.COM. assumes no responsibility for the information provided on the Site, including but not limited to information regarding products and/or services, notes of interest, opinions, practical advice and solutions to concerns. WOOWSHINE.COM. assumes no responsibility for the impossibility of, or problems with, the use of the Site or any of its pages, including but not limited to events such as server or connection problems, communication interruptions, technical problems. In the event that use of the material on this Site results in the need for servicing, repair or correction of equipment or data, the user assumes any costs thereof.

FIRST PARAGRAPH: WOOWSHINE.COM's liability shall be limited to an amount identical to the value of the product purchased, or failing that, to the value of the product ordered by the customer.

1. Origin of funds

The client solemnly declares and maintains: 

1. The resources with which he/she made the purchase come from a lawful operation, trade, profession, activity or business.
2. The monies with which the purchase was made were NOT obtained by virtue of any type of conduct that is established in Colombian law as a criminal offense.
3. I have never allowed third parties to use my accounts or my credit or debit cards to deposit or manage monies that I do not know their origin or that come from conducts contrary to the law and especially to the criminal law.
4. I exempt WOOWSHINE.COM. from any responsibility for the erroneous, false or inaccurate information provided in this document or for the violation of this one, so that I will be the only responsible for it.
5. Perfection and Transfer of Ownership

The contract is perfected when the customer accepts the purchase offer presented by WOOWSHINE.COM, the contract is understood to be perfected when WOOWSHINE.COM proceeds with the shipment of the respective products selected by the customer.

Once the contract has been perfected in the aforementioned terms, no cancellations of orders may be made, if made, it will result in breach of contract by the customer and will result in WOOWSHINE.COM to bring legal action to which it is entitled by virtue of such breach. The foregoing without prejudice to the right of withdrawal in favor of the buyer exercised in accordance with the law.

In the event that the customer chooses more than one product on the site and one or more of those products do not meet the condition of availability by WOOWSHINE.COM, the contract will be deemed to be perfected for the goods that are available, the customer will be informed, by notice on the site, of the unavailability of the others and the purchase order and the corresponding invoice will be generated in accordance with the available products.

In the event of payment on delivery, the ownership of the products will be transferred to the customer from the moment they are paid by the customer at the place of delivery. In the event that the price of the products subject to a purchase offer is not paid, it will be understood that there is a breach of contract, which is grounds for termination by WOOWSHINE.COM, with the customer assuming the value of the return of such products to the respective deposit, as well as the amount of damages arising from such breach. In the event of payment by other possible means, in accordance with the provisions of this Site, the ownership of the products will be transferred to the customer from the moment the contract is perfected, that is, from the moment the products are shipped from

the warehouses and/or authorized warehouses of WOOWSHINE.COM in the Republic of Colombia.

1. Delivery of the Products

WOOWSHINE.COM. commits to deliver exclusively within the Colombian territory, in the areas and places to which it has access according to its distribution network, and therefore the completion of the purchase contract is conditioned to the address registered by the client to make the delivery, is within the geographical areas enabled by WOOWSHINE.COM.,

which are indicated on the site. If a municipality of the Colombian territory is not found in the list that displays the site for the effect, it shall be understood that the geographical area is not enabled and therefore the contract will not be understood as concluded when the aforementioned condition for its perfection is not met and consequently will not proceed to the shipment of the goods.

The products object of the purchase will be delivered to the address provided by the customer in the electronic form provided by the site, within a maximum period of fifteen (15) working days, counted from the date on which WOOWSHINE.COM sends the confirmation of the purchase order generated by the system and provided that the terms and conditions of payment have been determined in advance and there are no causes beyond the control of WOOWSHINE.COM that could delay the delivery, such as any unforeseen event or force majeure. It is understood that any person who is at the address where the delivery is to be made, is duly authorized by the customer to receive the order, and therefore WOOWSHINE.COM. is exonerated from any responsibility for the delivery, as long as it is made at the address registered in our Site. If no one receives the order at the address indicated, WOOWSHINE.COM. will proceed to return the products to the respective warehouse, and the customer will be obliged to contact us within a maximum period of five (5) calendar days for us to proceed to resend the products, in which case, the expenses generated by the same, will be borne by the customer, and until such time as they are not canceled, WOOWSHINE.COM. will not be obliged to make the shipment again. If the customer does not proceed to request the reshipment within the indicated term, or does not pay the additional value for the reshipment, WOOWSHINE.COM. may withdraw from the business, and will only be obliged to refund the amount paid for the products, deducting the value of the expenses incurred for transportation.

1. Products and/or services

It is the policy of WOOWSHINE.COM. to constantly update and revise the products displayed on this Site. WOOWSHINE.COM. may modify and discontinue products at any time.

WOOWSHINE.COM. is obliged to deliver products with the same quality characteristics that are normally exhibited in its points of sale, however the colors of the products that the customer sees in his monitor depend on the same, therefore WOOWSHINE.COM. does not guarantee that the color shown in the customer's monitor is exactly the same as the real color of the product.

1. Returns and Exchanges

WOOWSHINE.COM. will proceed to refund money for merchandise purchased on the site, as long as the return request is submitted to the Customer Service Representative within 5 business days of receipt of the product. In cases where the return request is made outside of the aforementioned period, WOOWSHINE.COM is not obliged to accept product returns, except for quality defects.

WOOWSHINE.COM will assume 100% of the freight charges required for the return of the product in the main cities. The customer who makes the return will be recognized only the value of the item being returned, such refund will be made by charging the value of the item to the credit or debit card that the customer has registered on the site and with which it has made the purchase or by means of a voucher that will be sent to the customer via email.

The request for exchange or return must be made by the customer through "customer service" who for this purpose has designated the email sales@woowshine.com, through which the customer will be told the procedure to follow to make returns.

1. Other Documents

These terms may not be altered, supplemented or amended by the use of any other document. Any attempt to alter, supplement or amend this document or to submit or accept an Offer to Purchase Product(s) that is subject to additional or different terms and conditions shall have no effect unless otherwise agreed to by written agreement signed by the customer and WOOWSHINE.COM.

1. Applicable Law and Jurisdiction

These terms and conditions of sale shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute arising from this document shall be submitted to the courts of the Municipality of Bogota (Colombia), and both WOOWSHINE.COM. and the customer expressly waive any other jurisdiction that may correspond to them due to their present or future domicile.

TERMS OF USE

Please read carefully the content of the following texts. By using this Site, you agree to the Terms of Use, Terms of Agreement and Privacy Policy contained herein.

1. The Parties

Between the client and/or user, who acts directly, if he/she is a natural person or through a person duly authorized to act on behalf and representation, in case of being a legal person, and on the other hand WOOWSHINE, national brand belonging to WOOWSHINE.COM, a commercial company duly constituted under the Colombian laws, which has a web site www.woowshine.com, enter into this contract in accordance with the terms and conditions of use that are an integral part of this contract.

FIRST PARAGRAPH: To make any purchase, it is an essential requirement to register, identify and introduce yourself as a user on the website, activities that are performed through an email account and a secret password of the customer, which is personal, non-transferable and exclusive and exclusive responsibility of the customer.

WOOWSHINE.COM. grants you a personal, non-transferable, non-exclusive right and license to display www.woowshine.com on the screen of a computer or PDA device under your control, and to use the WOOWSHINE.COM. owned Content solely for your personal, non-commercial, non transferable use, provided that you do not modify the Content in any way and that you retain all copyright and other proprietary notices contained therein.
